CERTIFICATION OF ORIGINAL DOCUMENT

Loyva Vault-In (“Authoritative Copy”) Process

I, the individual signing below, hereby certify that:

I am an employee or authorized agent of the organization named below (the "Organization"). The Organization utilizes Loyva Inc.’s platform for the secure creation, execution, storage, and vaulting of electronic documents (the “Loyva Platform”). I am authorized by the Organization to upload and designate specific documents as authoritative, and to manage the transition of electronic documents into the Loyva Vault as authoritative originals (“Authoritative Copy”).

The Organization has determined that the document(s) listed in the associated Vault-In Record (“Vaulted Document(s)”) have been finalized and represent the complete and accurate version of the transaction, agreement, or record intended to be preserved as legally enforceable originals. By submitting these documents to the Loyva Platform and executing the Vault-In process, I acknowledge on behalf of the Organization that:

  • The Organization has completed all necessary review and approvals for the Vaulted Document(s).

  • The Vaulted Document(s) are being intentionally and knowingly submitted to the Loyva Vault with the intent to render them as the Organization’s Authoritative Copy.

  • The Loyva Vault will maintain the submitted documents as authoritative originals, and the Organization will rely on the platform to preserve the integrity, authenticity, and enforceability of such documents.

At the time of Vault-In, the system, software, and processes provided by Loyva were operating properly and in accordance with the Organization’s internal protocols and ordinary course of business. I further acknowledge that the Loyva Vault maintains immutable audit trails and custody records, which reflect the time, date, user, and actions taken to designate each Vaulted Document as the Authoritative Copy.

The Loyva Platform maintains a Vault History Report, which documents all significant actions related to the Vaulted Document(s), including uploads, designation as authoritative, and any access or attempted modification. The Organization acknowledges that this history, combined with the controls and architecture of the Loyva Vault, evidences and secures the status of the Authoritative Copy.

By signing below, I declare under penalty of perjury that the information above is true and correct, and that the Vaulted Document(s) were designated as Authoritative Copy in accordance with the Organization’s internal procedures and intent.
